Terms of Service

Bizor AI is a business operations tool: invoicing, client management, tasks, notes, calendars, and an AI assistant, organized around one or more organizations ("workspaces") that a user belongs to. We may add, change, or remove features over time.

You must provide accurate information when creating an account and keep your login credentials confidential. You're responsible for all activity that happens under your account. You must take reasonable steps to protect your credentials — for example, using a strong password and enabling two-factor authentication where available — and notify us promptly if you suspect unauthorized access to your account.

You must be at least 18 years old, and legally able to enter into a contract, to create an account.

An organization's owners and admins control who has access to that organization's workspace and what data it contains. If you're a member of an organization, the organization's owner can remove your access at any time.

You retain your rights in the business content and client information you submit to Bizor AI. As between you and Netjex, you — not us — are responsible for having a lawful basis to collect and store that information, and for your own obligations to your clients. We act as a processor of that data on your behalf; see our Privacy Policy for how we handle it.

Bizor AI is offered under different plans, each with its own limits (for example, on team members, clients, or invoices per month). We'll tell you when you're approaching or have reached a limit. Using Bizor AI beyond what your current plan allows may require upgrading to a higher plan.

Today, plan assignment and changes on Bizor AI are handled directly by our team rather than through automated, self-serve subscription billing — we don't yet charge accounts on a recurring basis or process plan payments through the app. If and when we introduce self-serve subscription billing (with recurring charges, automatic renewal, and online plan upgrades/downgrades), we'll update this section to describe exactly how billing, renewal, taxes, refunds, failed payments, and cancellation work before that feature goes live.

This section is separate from the online invoice payments described below, which are between an organization and its own clients, not between an organization and Netjex.

Organizations can invite their own clients to a customer portal to view and, where enabled, pay invoices and quotes online. If you're a portal user, your access is tied to the organization that invited you and the email address you use to sign in — it isn't a general Bizor AI account.

Organizations may connect their own Stripe account to accept invoice payments directly from their clients. When enabled, Netjex is never the merchant of record and never holds those funds — payment goes straight to the organization's own Stripe balance, subject to Stripe's own terms. We're not responsible for disputes, refunds, or chargebacks between an organization and its clients; those are between the two of them (and Stripe).

The AI Assistant is provided as a convenience and can make mistakes. Responses, summaries, and any actions it takes on your behalf (like drafting an invoice) should be reviewed before you rely on them. You're responsible for verifying anything business-critical that the Assistant produces. Nothing the AI Assistant generates is professional accounting, tax, legal, financial, or other professional advice, and it shouldn't be treated as a substitute for consulting a qualified professional.

You agree not to:

• Use Bizor AI for anything illegal, fraudulent, or to harm others.
• Try to gain unauthorized access to another organization's workspace or data.
• Interfere with or disrupt the service, or attempt to bypass plan limits or security controls.
• Reverse-engineer, resell, or white-label the service without our written permission.
• Upload malware or use the service to send spam.

Bizor AI, its design, and its underlying software are owned by Netjex Inc. These Terms don't grant you any rights to our trademarks, logos, or brand. You retain ownership of the business content you put into Bizor AI; you grant us the limited right to store, process, and transmit it solely to provide the service to you.

We may perform scheduled maintenance, emergency maintenance, upgrades, or other infrastructure changes from time to time, and Bizor AI may be temporarily unavailable during these periods. We'll try to keep disruption to a minimum and give notice of planned maintenance where practical, but we don't guarantee advance notice for emergency work.

We may offer new, beta, or experimental features from time to time. These features may be modified, suspended, or discontinued at any time, may not work as reliably as the rest of Bizor AI, and may have additional terms or limitations that we'll make clear when you use them.

You can stop using Bizor AI and close your account at any time. We may suspend or terminate an account that violates these Terms, poses a security risk, or where required by law, with notice where reasonably possible. On termination, your right to use the service ends; sections of these Terms that by their nature should survive (like Sections 7, 10, 15, and 16) will continue to apply.

What happens to your data after your account is closed — including how long we keep it and when it's deleted or anonymized — is described in our Privacy Policy.

Bizor AI is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the service will be uninterrupted, error-free, or that it's fit for any particular business, tax, or legal purpose — you're responsible for confirming figures like tax calculations are correct for your jurisdiction before relying on them.

To the maximum extent permitted by law, Netjex Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of Bizor AI. Our total liability for any claim arising out of these Terms or the service will not exceed the amount you paid us in the twelve months before the claim arose. Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under the laws of Ontario or Canada.

You agree to indemnify and hold Netjex Inc. harmless from any claim arising from your use of Bizor AI in violation of these Terms, or from data you've entered about your own clients.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from these Terms or Bizor AI will be resolved in the courts located in Ontario, Canada.

We may update these Terms as Bizor AI changes. If we make a material change, we'll update the effective date above and, where appropriate, notify account owners by email. Continuing to use Bizor AI after a change takes effect means you accept the updated Terms.
